Scope of Services:
Higher Logic will provide certain data migration services related to the Subscriber's Thrive Community as set forth below (the "Data Migration").
Data Migration:
The Data Migration will consist of the activities set forth below in the Schedule & Milestones section. The first step in the Data Migration is the Subscriber's submission of the completed Technical Worksheet and a sample dataset (in the format the final dataset(s) will be provided in). From that point, the Subscriber should allow 10-14 weeks for completion of the Data Migration. Subscribers with an integration should note that the first round cannot begin until data is synced via the integration; this may adjust the Data Migration project timeline and scheduling.

Subscriber Project Personnel Requirements:

Project Owner: Subscriber will assign a single point of contact ("POC") to function as the Subscriber's project coordinator and will serve as the primary channel of communication throughout the Data Migration. Resource Commitment During Data Migration: Approximately 2-4 hours per week throughout the duration of the Data Migration.

Subscriber Data Stakeholder(s): Owner(s) of source data that will be provided to Higher Logic for the Data Migration. Resource Commitment During Data Migration: Depends on technical requirements.
Delays:
Higher Logic reserves the right to reassign resources, reschedule and/or re-prioritize the Data Migration or any milestone related to the Data Migration in the event that Subscriber is not responsive and/or in the event that the Subscriber requests a delay of the Data Migration.
Out of Scope Services:
The parties acknowledge and agree that any requests not specifically included in the Statement of Work agreed upon for the Data Migration will not be provided by Higher Logic as part of the Data Migration. In the event that Subscriber requests an out of scope service (a "Change Request"), Higher Logic will consider such a request and may, in its sole discretion, provide the services for an additional T&M fee of $200 per hour. In the event of such a Change Request, Higher Logic will prepare a cost estimate and timeline for the additional services and, upon Subscriber's execution of an order form detailing the Change Request Services, will commence work. Higher Logic reserves the right to decline any change request in its sole discretion.
